Case Question: Our client (Company A) is acquiring a company (Company B) that produces two products. One product is the one A is interested in. The other is one that B has built its reputation on but that A has no use for. How would you advise the client regarding what to do with the products B produces?

Firstly, we need to understand the motivation for the acquisition as well as Company A's integration strategy, acquisition posture (rescue, collaboration, contested, raid) and how CA will derive synergies and value from the acquisition. If there will be full integration, then CA will need to understand how disposing of product B will impact the existing customer base, vendor arrangements, contracts, etc. that came with the acquisition. Also disposal costs will be dilutive to EPS and may impact any debt covenants and other borrowing arrangements. If there will be limited, infrastructure only integration, or CB will continue to operate as a purely standalone entity, then impact of disposal of product B can be analyzed using CF and Market/Industry/Customer analysis. At one end of the spectrum, it would appear that with a full integration, it may be less risky to dispose of Product B. At the other end of the spectrum, without integration, getting rid of Product B may alienate the Target's customer base and erode the Target's reputation in its markets. Less
